EVENT SPONSORSHIP PURCHASE ORDER 

This event sponsorship purchase order (ESPO) is effective as of the date of the last signature below (Effective Date) between Pax8, Inc., (Pax8) and the undersigned sponsor (Sponsor). This ESPO incorporates the terms of the Pax8 Event Sponsorship Terms (Terms) available at pax8beyond.com/terms-and-conditions. If the terms of this ESPO conflicts with the Terms, the ESPO shall control. 

Event: Pax8 Beyond 2025 
Venue: Gaylord Rockies Resort & Convention Center 
Date: June 8 – 10, 2025 

Description: From the marketplace that unlocks a universe of possibility comes Pax8 Beyond 2025. Centered around innovation and community, Pax8 Beyond is expected to draw 2,000 partners from across the globe for three days of learning, networking, and inspiration. Here, partners will discover new ways to accelerate growth for their clients, increase efficiencies, and reduce risk as they step into the future. As a Sponsor, you’ll have access to this community of partners to showcase the best of your product line and how it supports their needs. Stay tuned as we unveil special updates regarding guest celebrity speakers, sponsorship opportunities, and more. 

Terms and Conditions: 

1. Sponsorship Fees: The fees  for the different sponsorship options (Sponsorship Tiers) are found in Exhibit A to this ESPO. Sponsor agrees to pay the fee for its chosen Sponsorship Tier as stated on the signature page to this ESPO. 
   
   
2. Payment Terms: All payments will be invoiced upon the Effective Date and will be due within thirty (30) days of the invoice date. Any late payments will result in a fee of 1.5% of the total cost of Sponsorship. Failure to pay Sponsorship Fees when due may  also result in Pax8 refusal to allow Sponsor to enter the venue. The terms and conditions of any Sponsor purchase order or other documents shall be void and of no effect and the terms of this ESPO shall control. 
   
   
3. Cancellation & Refund. Sponsor may cancel this ESPO by providing written notice to MDF@pax8.com or Beyondvendor@pax8.com. Only cancellations received via email will be accepted. If a Sponsor cancels prior to January 1, 2025, Pax8 will refund 50% of the Sponsorship Fees  paid by Sponsor (Refund). No Refunds will be given for cancellations received after 12:01 a.m. on January 1, 2025. Except as set forth in this section, Sponsorship Fees  are nonrefundable.
    
4. Breach. If Sponsor fails to comply with the Terms and this ESPO, Pax8 may cancel this ESPO for breach and Sponsor shall forfeit all rights under this ESPO and the right to participate in and sponsor the Event. Any paid Sponsorship Fees  shall be retained by Pax8 as a good faith estimate of the damages incurred by Pax8 resulting from such breach in the form of liquidated damages. Any conduct by Sponsor that violates Pax8’s guidelines or best practices, which have been provided to Sponsor in writing, or relevant laws, including conduct of Sponsor’s employees and/or agents, will be cause for termination of this ESPO and considered a breach. Additionally, Sponsor may be prevented from participating in future Pax8 events. 
   
   
5. Confidentiality. The terms and conditions of this ESPO, including the Sponsorship Fees  and any discounts, are Pax8 Confidential Information as defined in the Terms and shall not be disclosed by Vendor to any third party. 
   
   
6. Contact and Billing Information. Sponsor shall provide a representative and their contact details for Pax8 to coordinate the Event details/logistics as well as a contact name, email, and address for invoicing purposes.  

IN WITNESS WHEREOF, by signing below, each party acknowledges and agrees that it has read and agrees to be bound by this ESPO and the Terms, and each party has caused this ESPO to be executed by their duly authorized representatives as of the dates specified below.
